Carol leads Caiola & Rose’s Corporate and M&A Practice Group and is also a member of the firm’s Franchise Team. Her practice focuses on advising clients throughout a strategic transaction, developing corporate governance practices and policies for clients, and advising clients on franchise regulatory matters.
Before joining Caiola & Rose in 2026, Carol spent nearly a decade at a leading global law firm developing her skills as a corporate counselor and M&A practitioner. She has experience advising clients of all sizes and in all industries in a wide variety of corporate matters.
Carol has represented widely held public companies and closely held and founder-owned private companies in cross-border and domestic M&A transactions on both the sell-side and buy-side. She has a deep understanding of the life cycle of an M&A transaction and takes a very commercial approach to getting deals done. Carol also has significant experience advising clients on general corporate needs, including investment transactions, joint ventures, commercial contracts and restructurings.
In addition to M&A work, Carol has extensive experience working with public company boards on corporate governance matters, including board assessments, governance updates, activism preparation and leadership transitions. Carol translates this experience to counseling boards of private companies and non-profits on a range of governance matters.
As a member of the firm’s Franchise Team, Carol also advises franchisors on multi-unit development, transactions with private equity-backed franchisees, franchise sales practices, and exemption-based franchising. She also prepares franchise disclosure documents and related registration and transactional documents for franchisors.
Carol is practical, solution-oriented and efficient.
Carol lives in Buckhead with her two children and husband. In her free time, Carol loves to explore the Atlanta food scene and cheer on the Dawgs.

Represented leading supply chain software company in a take private transaction with private equity acquiror.
Represented a diversified technology holding company in numerous acquisitions of software companies as well as a divestiture of its legacy industrials business.
Represented a leading packaged baked goods company in numerous acquisitions of local and regional baked goods brands.
Represented numerous founder-owned businesses in exit transactions with both sponsor and strategic acquirors.
