Caiola & Rose

Sam is a member of Caiola & Rose’s Franchise, Regulatory and Transactional practice group.  He represents franchisors and other business owners in various corporate and transactional matters, including acquisitions, divestitures and franchise development. He also negotiates complex corporate agreements related to marketing, real estate, supply chain, technology, consumer privacy, and other vendor relationships. 

Sam also works closely with franchisors on managing franchise relationships, ensuring compliance with brand standards and implementation of new system-wide initiatives. In developing franchisee compliance and communication plans, Sam prepares default and termination notices and is well-versed on applicable state franchise relationship laws.  He also assists with preparation and registration of franchise disclosure documents.

Before joining Caiola & Rose, Sam worked as in-house counsel for two franchisors of globally-recognized brands.  His in-house experience makes him a business-minded attorney, with a unique understanding of what business leaders need and how to support them efficiently and practically.  After graduating from law school and before starting his franchise practice, Sam clerked for a state judge in New Jersey.

In addition to his legal practice, Sam is on the Board of Directors for the St. John’s College Alumni Association.  In his free time, he enjoys golfing and trying new restaurants in the Atlanta area.
